Definitions
The following terms shall have the meanings set forth below whenever they appear in these Terms of Service:
"Swapli" or "we/us" — Swapli by Webguy BV, a company registered in the Netherlands, company registration number KVK 72381647, located at Rokin Business Center, Rokin 92, 1012 KZ Amsterdam, The Netherlands.
"Platform" — The website swapli.net, including all subdomains, applications, and related services operated by Swapli.
"Member" — A person who has completed the registration process, passed identity verification, paid membership fees, and published at least one property on the Platform.
"Registered User (Free)" — A person who has registered and verified their account (email and phone) but has not yet paid membership fees. A Registered User may browse the website without restriction but may not send messages or request exchanges.
"Visitor" — A person who browses the website without registration. Visitors may view limited content only.
"Property" — A residential property displayed on the Platform for exchange purposes, including all information, photographs, and descriptions uploaded regarding it.
"Exchange" — An arrangement between two Members to reciprocally exchange properties for a specified period.
"Host" — A Member who allows another Member to stay at their property as part of an Exchange.
"Guest" — A Member who stays at another Member's property as part of an Exchange.
"Community Guidelines" — The Community Guidelines and Code of Conduct of Swapli, which form an integral part of these Terms of Service.
"User Content" — Any information, text, photograph, description, or other material that a user uploads or publishes on the Platform.
"Third-Party Services" — External services that the Platform uses, such as payment processing (Stripe), identity verification (Didit or Stripe), and others.
Development Stage — Beta
Swapli is currently in Beta — the Platform is active and functional, but still undergoing continuous development and improvement.
This means:
(a) The Platform may contain technical issues, display errors, or partial functionality.
(b) Features, design, content, and processes may change without prior notice.
(c) The Service may be temporarily unavailable for updates, fixes, or upgrades.
(d) Swapli does not guarantee continuous availability or absence of errors at this stage.

1. About Swapli and the Service
1.1 What is Swapli
Swapli is a Hebrew-language online platform connecting Israeli families worldwide for the purpose of home exchanges during vacations. The Platform enables Members to create a personal profile, showcase their property, search for suitable home exchanges, and communicate with other Members to arrange exchanges.
1.2 Swapli is a Matchmaking Platform Only
This point is central and recurs throughout these Terms:
Swapli provides technological tools to connect Members. Swapli is not a party to exchanges between Members, does not own or operate properties, does not conduct comprehensive background checks on Members or their properties, does not guarantee the accuracy of information published by Members, and is not responsible for the outcomes of any exchange.
Every Exchange is a direct agreement between two Members, and each Member bears sole responsibility for verifying, validating, and ensuring that the Exchange is suitable for their needs.
1.3 Services We Provide
The Platform provides the following services: tools for creating personal profiles and property profiles, a search engine to locate suitable exchanges, an internal messaging system for communication between Members, an identity verification system to strengthen trust in the community, and processing of membership payments.
2. Eligibility and Registration
2.1 Eligibility Requirements
To register and use the Platform, you must meet all of the following requirements:
(a) Be at least 18 years of age at the time of registration.
(b) Have full legal capacity to enter into contracts under the law applicable to you.
(c) Hold a legal right to host guests at any property you present — whether as an owner or as a tenant with permission from the property owner.
(d) Be a private individual - corporations, businesses, property management companies, and rental agencies are not permitted to register.
(e) Not have been previously suspended or removed from the Platform.
2.2 Registration Process
Registration is completed in stages: providing an email address and accepting these Terms of Service, providing a full name, providing a phone number, choosing a password, and entering a referral code (optional).
The account is created only after completing all registration stages. Incomplete registration drafts are automatically deleted after 7 days.
2.3 Accuracy of Information
You commit to providing accurate, current, and complete information during registration and throughout your registration and membership. In particular: you must use your real name as it appears on your identification document. Nicknames, fictitious names, or abbreviations are prohibited. You must update your details whenever any change occurs. Impersonating another person is strictly forbidden.
2.4 One Account per Household
Each household may maintain only one account on the Platform. Creating multiple accounts is prohibited and may result in the closure of all accounts. Unless you have received written permission to do so from a Swapli representative.
2.5 Account Security
You are responsible for maintaining the confidentiality of your login credentials (email and password) and for all activity on your account. You must notify us immediately if you suspect unauthorized use of your account by contacting support@swapli.net.
3. Account Verification
3.1 Verification Steps
The Platform includes three independent verification steps, designed to strengthen trust and safety in the community:
(a) Email Verification — A verification code is sent to the email address you provided during registration.
(b) Phone Verification — A one-time verification code (OTP) is sent to your phone number via SMS.
(c) Identity Verification (KYC) — An advanced identity verification process conducted through a third-party provider (Didit or Stripe, as determined by system requirements). This process includes presentation of a government-issued identification document and a selfie photograph for facial verification.
3.2 Biometric Data
The identity verification process involves processing biometric data (facial recognition, liveness verification). This data is processed only by the service provider (Didit or Stripe, as determined by system requirements), in accordance with their privacy policy and your explicit consent, which will be requested before the verification process begins. Swapli retains only the verification result (pass/fail), name from the document, date of birth, document type and number, and issuing country. Swapli does not retain selfie photographs, document photographs, or video recordings.
3.3 Impact of Verification
Full verification (email + phone + identity) is required to become a full Member and conduct Exchanges. Without full verification, you may browse the website but may not send messages or request exchanges.
3.4 Verification Limitations
Verification is intended to increase trust in the community but does not constitute a guarantee. Swapli does not guarantee the identity, trustworthiness, or conduct of Members, even if they have completed full verification.
4. Membership and Payments
4.1 Membership Tiers
The Platform offers two tiers:
(a) Free Tier (Registered User) — Registration and verification, profile and property profile creation, viewing properties and profiles. No ability to send messages or conduct exchanges.
(b) Annual Paid Tier (Member) — All capabilities of the Free Tier, plus: sending and receiving messages, requesting and managing exchanges, and full access to all Platform features.
4.2 Pricing
Current pricing is published on the website under "How Much Does It Cost?" All prices are quoted in Euro (EUR) and include VAT as required by applicable law. Swapli reserves the right to change prices. Price changes take effect at the next membership renewal and not during an active membership period.
4.3 Payment Processing
Payments are processed through Stripe, a secure payment provider that is PCI-DSS compliant. Your credit card details are transmitted directly to Stripe and are not stored on Swapli's servers at any time.
4.4 Automatic Renewal
Annual membership automatically renews at the end of each period unless you cancel automatic renewal before the renewal date. You will receive an email notification at least 14 days before the renewal date.
4.5 Cancellation of Renewal
You may cancel automatic renewal at any time through your account settings. Cancellation takes effect at the end of your current membership period — meaning you may continue using the service until the end of the period you have paid for.
4.6 Value-Added Tax (VAT)
In accordance with European Union regulations (VAT Directive 2006/112/EC), VAT is charged based on your country of residence. VAT details will appear on the invoice issued through Stripe.
5. Right of Withdrawal for EU Consumers
5.1 Withdrawal Period
In accordance with the European Union Consumer Rights Directive (Directive 2011/83/EU), you have the right to withdraw from this purchase within 14 days of purchase without providing a reason.
5.2 Conditions for Exercise
The right of withdrawal is available provided that no Exchange has been conducted and the membership services have not been used substantially (no exchange requests have been sent). If substantial use of the service has already commenced, the refund may be reduced proportionally.
5.3 How to Withdraw
To withdraw, send a written notice to legal@swapli.net with a clear statement of your intention to withdraw. The refund will be processed within 14 days of receiving your request, via the original payment method.
5.4 Withdrawal Form
You may use the standard EU withdrawal form, but are not required to do so. Any clear written notice will be accepted.
6. Referral Program and Bonuses
6.1 Referral Program
Swapli operates a "refer a friend" program. Each Member receives a personal referral code that may be shared with others.
6.2 Bonus Terms
When a new person registers using a referral code and completes the annual membership registration and payment process, both parties (referrer and new user) are eligible for a bonus of 30 days of free membership.
6.3 Limitations
Self-referral is prohibited. Swapli reserves the right to modify the terms of the referral program at any time. Changes will not affect bonuses that have already been earned.
6.4 Promotional Campaigns
Swapli may offer special promotions and benefits, particularly during launch periods. The terms of promotions, their duration, and scope will be determined at Swapli's discretion and will be published on the website or sent to Members via email. Swapli reserves the right to modify, suspend, or terminate any promotion at any time.
7. Member Obligations — General
7.1 Conduct
Every Member commits to acting fairly, honestly, and respectfully toward other Members and Swapli representatives. Additionally, every Member is subject to Swapli's Community Guidelines and Code of Conduct, which form an integral part of these Terms of Service.
7.2 Profile and Property
Every Member commits to: maintaining a current and accurate personal profile and property profile, uploading authentic and current photographs of the actual property, disclosing relevant information about the property including limitations, shared spaces, pets, stairs, or accessibility issues, and responding to messages and requests within a reasonable time (recommended within 3 days).
7.3 Prohibited Actions
Strictly prohibited are: offering the property for rental or demanding any payment for an Exchange, demanding deposits, fees, or payments of any kind, using the Platform for commercial purposes, harassing, threatening, or harming other Members, publishing false or misleading information, including contact information (email, phone, social media) in property profile text or photographs, creating multiple accounts or sharing login credentials, using automated tools or scrapers, impersonating another person, attempting to communicate with Members or conduct Exchanges outside the Platform to circumvent rules, and sharing photographs of an exchange property on social media without explicit permission from the Host.
8. Home Exchanges
8.1 Exchange as an Agreement Between Members
Home exchanges are direct agreements between two Members. Swapli is not a party to these agreements, is not responsible for their terms, and does not guarantee their performance.
8.2 Exchange Process
Initial communication is established through the Platform: one Member sends an exchange request to another Member, including requested dates, number of guests, and an initial message. The other party may accept, reject, or propose alternative terms. The Platform provides an optional checklist as a coordination tool for the parties, but use of it is not mandatory. Members may share contact information and text content through the Platform's messaging system, at their discretion. Swapli does not control the timing or manner in which Members share personal contact information.
8.3 Pending Requests
An exchange request that receives no response will automatically expire after 60 days.
8.4 Communication Recommendations
We strongly recommend that every Member: conduct a video call with the other party before final approval, document the property's condition before and after the Exchange with photographs, maintain documented communication through the Platform, and prepare a detailed house guide for guests.
9. Exchange Cancellations
9.1 Cancellation of Exchange
Cancellation of a coordinated Exchange is a serious matter that affects the other party and the trust of the entire community. Since Swapli is not a party to the exchange agreement between Members, cancellation of the Exchange is a matter between the Members themselves. Swapli requests that Members notify us of any changes or cancellations to an Exchange.
9.2 Duties of Parties Upon Cancellation
A Member required to cancel an Exchange commits to: communicating the cancellation directly to the other party and verifying that the message was received and understood (a unilateral notice is insufficient), making a good faith effort to help the other party find an alternative solution, and notifying Swapli of the cancellation.
9.3 Justified Reasons for Cancellation
Cancellation will be considered justified in the following cases: serious illness, death in the family, natural disaster, or other circumstances of force majeure as defined in Section 18, accompanied by appropriate documentation.
9.4 Consequences of Cancellation
A Member who cancels an Exchange may bear responsibility for reasonable costs incurred by the other party as a result of the cancellation. Repeated cancellations without justified reason may result in account suspension or closure.
9.5 Swapli Intervention
Since Swapli is not a party to the exchange agreement, it does not cancel Exchanges. However, if Swapli becomes aware of serious breach of terms, safety concerns, or other exceptional circumstances, it may notify the parties, recommend that they cancel the Exchange, and in serious cases — suspend accounts or restrict access in accordance with Section 11. In the event of account suspension or closure, Swapli will notify the counterparts to any planned Exchanges that have not yet taken place.
10. User Content
10.1 Ownership
Copyright in content you upload to the Platform (photographs, descriptions, messages) remains yours.
10.2 License to Swapli
By uploading content to the Platform, you grant Swapli a worldwide, non-exclusive, royalty-free license to use, display, and share the content within the Platform and for purposes of promoting Swapli. This license includes the right to use photographs uploaded to the Platform (cover photos and interior photos) as part of system screenshots for purposes of marketing, demonstration, or documentation of the Platform. This license terminates when you remove the content from the Platform or close your account, except for copies already shared with other Members as part of Exchanges, and for screenshots published prior to removal.
10.3 Prohibited Content
Uploading the following content is prohibited: offensive, obscene, threatening, racist, or illegal content, content that infringes copyrights or intellectual property rights of third parties, content that includes personal information of other people without their consent, content that includes external contact information (in text or photographs) intended to circumvent the Platform, and content that includes symbols, flags, or signs that may be offensive or controversial — Swapli will decide at its discretion whether to remove such content, or content likely to harm other Members or the Platform.
10.4 Photograph Specifications
Property photographs must be: actual photographs of the property (not illustrations or renderings), high quality and well-lit, in JPG, PNG, or WebP format, up to 10MB per photograph, and at minimum 6 photographs depicting key areas of the property such as: living room, kitchen, bathroom, bedroom, and outdoor area. Up to 20 photographs may be uploaded per property.
10.5 Content Removal
Swapli reserves the right to remove any content that violates these Terms, the Community Guidelines, or that is deemed inappropriate at our discretion. Upon removal of content, you will receive notice explaining the reason and your right to appeal (see Section 11).
11. Moderation, Reporting, and Appeal
This section is applied in accordance with the European Union's Digital Services Regulation (Regulation (EU) 2022/2065 — Digital Services Act).
11.1 Reporting Content or Conduct
Any user may report content or conduct that they believe violates these Terms of Service, the Community Guidelines, or applicable law. Reports may be submitted via the "Report" button on the Platform or by contacting safety@swapli.net.
A report should include: identification of the location of the content or the identity of the user being reported, a description of the violation, and if available, supporting evidence.
11.2 Handling Reports
Swapli will address reports within a reasonable time proportionate to their severity. The team will review the report, make a decision, and send notice to both the reporter and the reported user explaining the decision and its reasoning.
11.3 Possible Actions
Depending on the severity of the violation, Swapli may take one or more of the following actions: sending a warning, removing violating content, temporary removal of property profile, account suspension, permanent account closure, recommending that parties cancel an ongoing Exchange, and reporting to authorities (in cases of fraud, theft, or threats).
11.4 Appeal
A Member against whom action has been taken may appeal the decision by contacting legal@swapli.net within 30 days of receiving notice. The appeal will be reviewed by a person who was not involved in the original decision, and a response will be provided within a reasonable time.
11.5 False Reports
Repeatedly submitting false or malicious reports may result in suspension of the reporting account.
12. Insurance
12.1 Insurance Requirement
Every Member commits to maintaining appropriate home insurance and third-party liability insurance in force for their entire membership period, and to ensure that the insurance covers guest occupancy as part of home exchanges.
12.2 Proof of Insurance
Swapli may request proof of insurance at any time. Failure to provide this may result in suspension of the ability to conduct Exchanges until proof of valid insurance is provided.
12.3 Travel Insurance
We strongly recommend that every Member purchase travel insurance that includes cancellation coverage, medical coverage, and personal liability coverage.
12.4 Swapli Does Not Provide Insurance
Swapli provides no insurance of any kind. Responsibility for obtaining insurance rests solely with each Member.
13. Intellectual Property
13.1 Swapli's Rights
All rights in the Platform, including design, code, logo, brand, and content (except User Content), belong to Swapli or its licensors and are protected by intellectual property law.
13.2 Limited Use
You are granted a limited, personal, non-exclusive, and non-transferable license to access and use the Platform for personal purposes only in accordance with these Terms. You may not: copy, modify, distribute, sell, or use any part of the Platform without prior written permission, reverse engineer or attempt to access the source code, scrape data from the Platform or collect information about other Members using automated means, or use Swapli's name, logo, or trademarks without permission.
14. Limitation of Liability
14.1 Service "As Is"
The Platform is provided "AS IS" and "AS AVAILABLE," without any warranty of any kind, express or implied.
14.2 We Are Not Responsible For:
Damage caused during or as a result of home exchanges, loss or theft of property, injuries sustained during occupancy of a property, inaccuracies in information published by Members, actions or omissions of other Members, cancellation of Exchanges by Members, disruptions or technical failures in the service, and actions or omissions of third-party providers (Stripe, Didit, and others).
14.3 Limitation of Damages
To the maximum extent permitted by law, Swapli's liability shall not exceed, in any case, the amount of membership fees you paid in the 12 months preceding the event that gave rise to the claim.
14.4 Caveat — Consumer Rights
Nothing in these Terms is intended to limit your statutory rights as a consumer under applicable consumer protection law. In case of conflict between these Terms and mandatory consumer rights, consumer rights shall prevail.
15. Indemnification
You agree to indemnify and defend Swapli, its officers, employees, partners, and service providers from any claim, damage, loss, expense, or liability (including reasonable attorneys' fees) arising from: your use of the Platform, your breach of these Terms, your breach of the Community Guidelines, your infringement of any third-party rights, or false or misleading information you have published.
16. Privacy and Personal Information
The Platform collects and processes personal information as described in our Privacy Policy, which forms an integral part of these Terms of Service. By using the Platform, you confirm that you have read and understood the Privacy Policy. For complete information about the collection, use, retention, and sharing of your personal information, please refer to our Privacy Policy at: swapli.net/legal/privacy-policy.
17. Account Termination
17.1 Termination by You
You may request deletion of your account at any time through your account settings. An account may not be deleted during an active Exchange — you must wait for all active Exchanges to conclude.
17.2 Grace Period
Upon requesting deletion, your account will enter a "grace period" of 30 days. During this period, data is retained and the account may be recovered. After 30 days, data is permanently deleted except for information required to be retained for legal reasons (payment records, consent records).
17.3 Termination by Swapli
Swapli may suspend or close an account: for breach of these Terms or the Community Guidelines, for conduct endangering other Members or the Platform, in case of suspected fraud or illegal activity, for inactivity exceeding 12 months (after prior notice), or when required by law.
17.4 Effects
Upon account termination: access to the Platform will be blocked, your property listing will be removed from search, paid membership fees will not be refunded (except in cases of EU withdrawal rights), and data will be handled in accordance with the Privacy Policy and our legal obligations.
18. Force Majeure
Swapli shall not be liable for any delay or non-performance of its obligations arising from circumstances beyond its reasonable control, including: natural disasters, pandemics or health emergencies, wars, terrorism, riots or sanctions, failures in internet, electrical, or telecommunications infrastructure, government orders or changes in legislation, and strikes or labor disputes.
19. Changes to Terms
Swapli may modify these Terms from time to time.
Material changes will be published on the website at least 30 days before taking effect, and notice will be sent via email to all registered Members. Upon your next login to the Platform after the changes take effect, you will be asked to approve the updated Terms. Without approval, access to Platform services will be restricted.
Non-material changes (such as wording corrections, contact detail updates, or technical adjustments that do not alter the substance of rights and obligations) will take effect upon publication on the website without requiring renewed approval.
If you do not agree to the changes, you must stop using the Platform and cancel your membership in accordance with the membership cancellation section.
20. General Provisions
20.1 Severability
If any provision of these Terms is determined to be unlawful, void, or unenforceable, the remaining provisions shall continue in full force and effect.
20.2 No Waiver
Swapli's failure to exercise a right does not constitute a waiver of that right.
20.3 Assignment
Swapli may assign or transfer these Terms, in whole or in part, without your prior consent, provided that your rights are not adversely affected. You may not assign or transfer your rights or obligations without our prior written consent.
20.4 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and Community Guidelines, constitute the entire agreement between you and Swapli regarding the use of the Platform.
20.5 Prevailing Language
These Terms are available in Hebrew and in English. In the event of any conflict or inconsistency between the versions, the Hebrew version shall prevail.
21. Governing Law and Dispute Resolution
21.1 Governing Law
These Terms are governed by the laws of the Netherlands, without limiting your rights as a consumer under mandatory law in your country of residence.
21.2 Jurisdiction
Any dispute not resolved through amicable means shall be resolved in the competent courts of Amsterdam, the Netherlands, subject to consumers' right to bring proceedings in the courts of their country of residence.
21.3 Online Dispute Resolution (ODR)
In accordance with EU Regulation 524/2013, consumers resident in the European Union may file complaints through the Online Dispute Resolution platform of the European Commission at: https://ec.europa.eu/consumers/odr/
21.4 Alternative Dispute Resolution (ADR)
Before pursuing court proceedings, we encourage you to contact us directly at legal@swapli.net. We are committed to attempting to resolve any dispute in good faith within 30 days.
